The Legal Implications of Down Rounds
Posted on 18. Dec, 2001
Interesting article from Nick Humphrey: "The virtual collapse of the technology sector and plummeting public markets have seen many venture backed technology companies forced to raise funding at a deep discount to earlier rounds. These so called "down rounds" or "wash-outs" present venture capitalists with a minefield of commercial and legal issues, including the risk of law suits by disgruntled minority shareholders claiming oppression or conflict of interest. This article aims to give venture capitalists an overview of down rounds, an analysis of the key legal risks and risk management techniques."

Busy time for the .au dot-com dead pool, the GoFish auction website to cease trading this month, Adultshop shares plunge as ASIC investigates and yesterday an unknown Brisbane dotcom offered $615,000 for dStore.
Overseas, US online grocer Webvan, with around 2,100 staff ceased operations, where-as Priceline, a dotcom many thought would fail long ago was actually upgraded from neutral to accumulate by Merrill Lynch yesterday.
Mills Harding appoints administrator

Shame, definitely one of the cooler recruiting firms around due to their regular industry networking/drinks night, Domain. Some may knock the Mills Harding, but at least they're out there trying to create a more interesting and social industry to work in through informal gatherings of like minded Internet industry people. Good news is, that even though Mills Harding is closing down, the Domain gatherings will continue!

Amusing — Back the Net
Posted on 02. Apr, 2001
Err.. why am I even making a post about it, it's such a joke. Amusing most of the logos on the site represent companies that are likely go tits up within the next 12 months for all the usual reasons. Although, none of them have swoosh logos. Have all the companies with swoosh logos gone under already? That'd be an interesting study. Hrmm.. I need more coffee, I'm rambling.

Doing Time @ Amazon.com

"Actor and playwright Mike Daisey worked for Amazon.com during two of its tumultuous early years. Now, his Non-Disclosure Agreement (NDA) has just expired, allowing him to tell the real story of Amazon.com?how he learned to slavishly love idealistic mouthbreathers, sixty-hour weeks, and the cult of personality that is Jeff Bezos. His new one-man stage show, 21 Dog Years: Doing Time @ Amazon.com, chronicles these adventures." [via TT]

Ignore the IT Gloom Merchants

Bill Bennett: "Talk about an overreaction. Suddenly the mainstream media is awash with doom and gloom stories about the information technology sector. And by some unclear process of extrapolation this has extended to a general mood of disquiet about the entire knowledge economy. It's important to keep things in perspective."

General observation about FuckedCompany.com: idiots attract idiots. Although the author has gained much fame in the industry for FuckedCompany.com, and arguably provides a good, if not entertaining insight into the demise of the dot-coms. It's still one of the most poorly written sites around, I can't stand to read it more than once a fortnight, before I'm overwhelmed with anger over the lack of grammatical skills and general low intelligence demonstrated by the author. The forums are now almost as bad as Slashdot with this particular thread (linked above) of 710 comments on Razorfish attracting so many useless posts it's incredible. The author certainly doesn't deserve the amount of media exposure he's been getting lately and the site continues to attract a lower and lower class of reader.
